NV Systems – SaaS Platform (Odoo Community–Based)
Article 1: Scope
These Terms and Conditions apply to all products and services provided by NV Systems LLC through its websites, platforms, and related services (collectively, the “Service”).
Any individual or legal entity placing an order, subscribing to a plan, or using the Service through online payment, bank transfer, or any other accepted payment method is deemed to have accepted these Terms without reservation.
Article 1a: Age Requirements
To use the Service:
- Users must be at least 16 years old to purchase digital products.
- Users must be at least 18 years old to subscribe to services, consulting, coaching, workshops, or SaaS plans.
NV Systems LLC reserves the right to suspend or terminate accounts that do not meet these requirements. Any payments made in violation of this policy may be refunded at NV Systems LLC’s discretion.
Article 2: Orders and Acceptance
Any order, subscription, or activation of services implies full and unconditional acceptance of these Terms and Conditions.
NV Systems LLC reserves the right to refuse or cancel any order in the event of suspected fraud, abuse, or violation of these Terms.
Article 3: Pricing
All prices are displayed in United States Dollars (USD) unless otherwise stated.
Prices may be modified at any time. However, the price charged will be the one applicable at the time of the order or subscription confirmation.
Subscription fees are non-refundable, except where required by applicable law.
Article 4: Payment
Payments are due immediately upon order or subscription.
Accepted payment methods may include credit cards and other electronic payment solutions. Secure payments are processed via third-party payment providers such as Stripe or equivalent services.
NV Systems LLC does not store payment card details and is not responsible for the security or availability of third-party payment platforms.
Article 5: Usage Limits and Automatic Plan Adjustments
Certain subscription plans include usage limits, which may include (but are not limited to):
- Number of users
- Number of records or contacts
- Storage capacity
- System resources or features
If usage exceeds the limits of the subscribed plan:
- The user will be notified electronically.
- A grace period may be provided to reduce usage.
- If usage remains above limits, NV Systems LLC reserves the right to automatically adjust the subscription plan to the appropriate tier to ensure service continuity.
By using the Service, you expressly authorize NV Systems LLC to apply such adjustments after notice, and you agree to the updated billing accordingly.
Article 6: Platform License & Open-Source Notice
The Service is built using Odoo Community Edition, an open-source software licensed under the GNU Lesser General Public License (LGPL v3).
NV Systems LLC provides hosting, configuration, customization, integration, and support services.
NV Systems LLC does not claim ownership of Odoo software itself.
Any proprietary modules, configurations, designs, automations, or integrations developed by NV Systems LLC remain its intellectual property unless otherwise stated.
Article 7: Data Protection and Privacy
NV Systems LLC is committed to protecting user data and complies with applicable data protection regulations, including GDPR and other relevant international privacy laws where applicable.
By using the Service, you consent to the collection, processing, and storage of your data as described in our Privacy Policy.
Users may unsubscribe from marketing communications at any time using the links provided in emails.
Article 8: Fair Use Policy (FUP)
NV Systems LLC applies a Fair Use Policy to ensure stable and high-quality service for all users.
If a user’s activity:
- Negatively impacts system performance,
- Causes abnormal operational costs,
- Or disrupts service availability for other users,
NV Systems LLC may temporarily restrict or suspend access after reasonable notice, except in urgent cases where immediate action is required.
Article 9: Prohibited Content and Activities
The following activities are strictly prohibited:
- Pornographic or sexually explicit content
- Gambling or betting systems (unless legally authorized)
- Illegal products or services
- Fraud, scams, or deceptive practices
- Malware, hacking, or abuse of system resources
- Content promoting violence, exploitation, or illegal acts
Violation of this policy may result in immediate suspension or termination without refund.
Article 10: Limitation of Liability
NV Systems LLC provides the Service on an “as is” and “as available” basis.
NV Systems LLC shall not be liable for indirect damages, data loss, loss of profits, or business interruption resulting from the use or inability to use the Service.
Article 11: Termination
NV Systems LLC reserves the right to suspend or terminate accounts that violate these Terms, applicable laws, or acceptable use policies.
Users may terminate their subscription at any time, subject to the billing terms of their plan.
Article 12: Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles.
NV Systems LLC operates globally and provides services internationally.
